CONSTITUTION

The Sheriff Hutton Local History and Conservation Society.
1 Name
The name of the Society shall remain as The Sheriff Hutton Local History and Conservation Society. For operational purposes it shall be known as the Sheriff Hutton Glebe Conservation Area.
2 Purpose
The purpose of the society known as Sheriff Hutton Glebe Conservation Area shall be
i. to conserve, protect and manage the flora, fauna and woodland of the site for the benefit of the residents of Sheriff Hutton and all who visit there and in perpetuity.
ii. to conserve, protect and manage the earthworks as an area of historical and archaeological significance in accordance with the obligations imposed by the site’s listing as an Historic England Listed Monument (number 1017484) and for the benefit of the residents of Sheriff Hutton and all who visit there and in perpetuity
3 Membership
i. Membership will be open to all individuals interested in the purposes of the society. Members will be known as Friends of the Glebe.
ii. Membership shall be open to anyone regardless of gender, race, nationality, disability, sexual preference, religion or belief.
iii. The Trustees shall have the absolute discretion to accept or reject applications, or to refuse to renew the subscription of a Friend.
4 Trustees
i. The management of the society shall be by the Trustees consisting of officers and as many additional Friends as the Trustees deem appropriate. The following officers shall be elected for a period of 5 years at a General Meeting- Chair, Secretary and Treasurer.
ii. In the unlikely event of any claim being made against the Trustees in relation to their responsibilities Trustee Indemnity Insurance will be in place.
iii. The Trustees shall meet at such time and places as they deem but not less than twice a year. A quorum of Trustees at meetings shall be 3 trustees, which must include one of the officers.
iv. Minutes shall be taken of all Trustees meetings and these minutes shall be available for inspection by any Friend who applies to the Secretary.
5 Subscriptions
The annual subscription rate shall be agreed at a General Meeting. Subscriptions shall become due on 1st August each year.
6 Costs
All the proper costs charges and expenses of and incidental to the administration and management of the society shall be paid firstly from the society’s income, with any excess of expenditure over income met from the financial reserves of the society.
7 Authority
No persons other than the Trustees of the Society shall use the name or purport to act on behalf of or to represent the Society unless the Trustees have first granted him/her/them specific authority to act on behalf of the Society.
8 Reports
The Trustees shall provide an annual report to the Friends covering the finances of the society and activities related to the area. Such report will be inspected by one or more Friends and shall be available for inspection on the Sheriff Hutton website or by arrangement with a Trustee.
